Cinechance Partners Program Terms and Conditions

The Agreement below details the terms and conditions for enrolment in the Cinechance.com Partners Program. ( An Affiliate Program )

The terms "Affiliate," "Partners", "you," and "your" refer to you, the applicant. "We", "our" "Cinechance affiliate program", "Cinechance Partners program" and "Cinechance" refer to Cinechance.com . You and Cinechance are independent parties and this agreement will not form any partnership or agency. "Cinechance Partners Program" means an affiliate program and doesn't mean it as a partnership.

Duration

This Agreement will commence once your affiliate application has been accepted by Cinechance and will cease when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party not less than 3 days prior written notice of termination.

Changes

Changes may be made to the terms and conditions within this Agreement at any time and at our sole discretion. The changes may include, but not limited to, changes in referral fees, commissions, fee schedules, payment procedures and program rules. If you find any of the changes unacceptable, you must terminate the Agreement. The changes will be updated on this web site and its your duty to check the new updates. If you continue to participate in the Program following the change, you shall be deemed to have accepted the change.

Commission

You will receive the follow commission from Cinechance:

Rs. 5.00 per Confirmed Registered Member : This means that a visitor ( Unique ) has clicked on the banner/text link on your website and has become a Confirmed Registered Member of  cinechance.com

Definition of a Confirmed Registered Member:
A confirmed registered member is defined as an individual who registers on Cinechance.com ( selecting the category of : actor / model ) and send their photograph to us for the FREE Membership . The Confirmed Registration must be unique. The registration without sending their photograph will not be considered as a confirmed registered member. 

Commission can only be earned during the period between the acceptance of the Affiliate application by Cinechance and the issue of a notice of termination. Any, charge back or reductions in commissions payable to you as a consequence of a cancelled registration in relation to which commission has already been paid to you shall be liable to be adjusted against future commission payments. 

We have the right to cancel the membership of a confirmed registered member at any time if we find any fraudulent activities. We will not pay the commission to our affiliates if we find fraudulent membership registrations. We have the right to hold the commissions without giving any reason. We have the right to fix the commission rate for our affiliates, there may be difference in commission structure among our affiliates. It''s all depend on the quality and quantity of registrations we receive through them.

Payment

Payments are made monthly. If your commission in a given month is computed as being less than Rs 1000, the amount outstanding will be carried forward and included in the payment for the following pay period. Payments shall be made on the basis of online reports ,however you will have to furnish appropriate invoices and receipts on demand. Further, payments shall be made subject to any tax deductions at source as may be required under the Income Tax Act, 1961 or other applicable laws. All the payments will be made in Indian Rupees. Check commission or DD Commissions will be deducted from your earnings. For new Partners, as a new offer the amount Rs 250/- will be included in your first month earnings report and will be paid out only if you reach the Rs 1000 mark.

Limitation of Liability

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed at any time and under any circumstances the total referral fees or Rs 1000/- ( Whichever is smaller ) is  payable to you under this Agreement.

Processing membership registrations:

We reserve the right to reject any membership registration / affiliate registration that does not comply with our operating procedures and policies. Registrations in a day from the same IP address will be considered as duplicate registration and the commission will be provided only to one of the registrations.

Restrictions

We reserve the right not to accept sites into the Affiliate Program based on site content. Sites that do not qualify for the Affiliate Program include, but are not limited to: Pornographic and sexually explicit content, Violent content, Discrimination content based on race, sex, religion, nationality or disability, Content promoting illegal activities, Content violating intellectual property rights

Unsolicited Emailing

All Affiliates, including you, are expected to adhere to Cinechance's policy of not participating in any mass unsolicited emailing. Any violation of this policy will result in the Affiliate being immediately dismissed from the Cinechance Affiliate Program with all unpaid commissions being forfeited and you have to compensate the loss arised due to your activities. to Cinechance.com

Disclaimer
Cinechance does not express or imply any warranties or representations in respect of the Affiliate Program or an Partner's potential to earn income from our Program. We make no representation that either our site or that of the Partners Program will be uninterrupted or error-free and we will not be liable for any consequences of interruptions or server down time.

Confidentiality

You shall keep confidential and shall not publicize or disclose to any third parties any information in your knowledge or possession pertaining to Cinechance's business, finances, subscriber base, user data, marketing plans or practices, software, networks etc. Intellectual Property
 
You shall have no right, title, interest or other claim whatsoever over the Cinechance's intellectual property including but not limited to its copyrighted material, brands, trademarks, software, webpages, URLs, designs and logos and participation in the Affiliate Program shall not entitle you to retain or use any Cinechance intellectual property except as specifically permitted by Cinechance.

Representations and Warranties

You now represent and warrant that:

1. you have full power and authority to enter into this Agreement;
   
2. your affirming this Agreement or your participation in the Affiliate Program shall not result in breach of any terms and conditions of any agreement, or constitute default under any applicable laws or other obligations to which you are bound or violate any rule, regulation or law of any government or any order, judgment or decree of any court or government body;
   
3. you shall comply with all applicable laws while participating in the Affiliate Program;
   
4. you shall take all due care to ensure that no virus or malicious code is transmitted to Cinechance or any of its users through your website; and
   
5. the information contained in the affiliate application submitted by you is true to the best of your knowledge and belief.

Indemnity

You agree to indemnify and keep Cinechance fully indemnified from and against any actions, proceedings, costs, awards, claims and damages however incurred by or arising against Cinechance as a direct or indirect result of any breach by you or your employees/affiliates of any of the provisions of this Agreement or the terms of the Affiliate Program.

Relationship of Parties

You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your website or otherwise, that reasonably would contradict anything in this Section.

Miscellaneous
This Agreement will be governed by Indian laws without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the Madurai Jurisdiction, India and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
